Terms of Service

Welcome and thank you for your interest in Poly Corporation (“Poly”, “we” or “us”). This Terms of Service Agreement (“Terms of Service”), together with any applicable Supplemental Terms (as defined in Section 1.1) (collectively, with the Terms of Service, the “Agreement”), describes the terms and conditions that apply to your use of (i) the website located at https://www.poly.app (the “Website”), (ii) the Software (as defined below), and (iii) the services and other resources available on or enabled via our Website, including our multimodal cloud storage platform (collectively, with the Website, the “Services”).

PLEASE READ THIS AGREEMENT CAREFULLY. THIS TERMS OF SERVICE GOVERNS YOUR USE OF THE SERVICES AND APPLIES TO ALL USERS VISITING THE WEBSITE. BY ACCESSING OR USING THE SERVICES IN ANY WAY, INCLUDING BY CLICKING ON THE “I ACCEPT” BUTTON, COMPLETING THE ACCOUNT REGISTRATION PROCESS, DOWNLOADING THE SOFTWARE, AND/OR BROWSING THE WEBSITE, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS AGREEMENT, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH POLY, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT PERSONALLY OR IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN ENTITY, TO BIND THAT ENTITY TO THIS AGREEMENT.

01. USE OF THE SERVICES

The Services and the information and content available on the Services are protected by copyright laws throughout the world. Unless otherwise specified by Poly in a separate license, your right to access and use any and all of the Services is subject to this Agreement.

  1. Poly Software. Use of any software and associated documentation that are made available via the Website or the Service (“Software”) is governed by the terms of this Agreement. Additional license terms may be posted with the Software downloads or at the Website page where the Software can be accessed. You shall not use, download, or install any Software that is accompanied by or includes a license agreement unless you agree to the terms of such license agreement.

  2. Supplemental Terms. Your use of, and participation in, certain Services may be subject to additional terms (“Supplemental Terms”) and such Supplemental Terms will be presented to you for your acceptance when you sign up to use these supplemental Services.

  3. Updates. You understand that the Services are evolving. You acknowledge and agree that Poly may update the Services or Software that you have installed on the devices through which you access or use the Service with or without notifying you.

  4. AI Tools. Certain aspects of the Services may provide you with access to artificial intelligence and deep learning platforms, algorithms, tools, and models to collect, analyze and provide responses to prompts, questions, and inquiries made through the Services. You may have the right to opt-out of use of certain AI Tools by disabling all indexing and search features for each of your files and/or folders.

  5. Storage. Unless expressly agreed to by Poly in writing, Poly has no obligation to store any of Your Content. You agree that Poly retains the right to create reasonable limits on Poly’s use, processing, and/or storage of Content, including Your Content.

  6. Poly Communications. By entering into this Agreement or using the Services, you agree to receive communications from us, including via e-mail.

  7. Privacy. By entering or agreeing to these Terms of Service, you acknowledge that you have read and understand our Privacy Policy, which may be updated or modified from time to time.

02. REGISTRATION

  1. Registering Your Account. In order to access certain features of the Services you may be required to become a Registered User.

  2. Registration Data. In registering an account on the Website, you agree to provide true, accurate, current, and complete information about yourself as prompted by the registration form.

  3. Your Account. You acknowledge and agree that you shall have no ownership or other property interest in your Account.

  4. Necessary Equipment and Software. You must provide all equipment and software necessary to connect to the Services.

03. STORAGE PLATFORM

  1. Your Content. Our Services allow you to store, organize, download and share certain content. You acknowledge that any Content made available on the Services is the sole responsibility of the party from whom such Content originated.

  2. License to Your Content. You hereby grant Poly a non-exclusive, transferable, perpetual, irrevocable, worldwide, fully-paid, royalty-free, sublicensable right and license to access, use, copy, store, scan, reproduce, modify, adapt, translate, distribute, publicly perform, and publicly display Your Content.

  3. Content Provided by Other Users. The Service may contain user content provided by other users. Poly is not responsible for and does not control User Content.

04. OWNERSHIP

  1. The Service. Except as expressly stated herein, you agree that Poly, its licensors and suppliers own all rights, title and interest in and to the Services.

  2. Trademarks. Poly’s name and all related graphics, logos, service marks, and trade names used on or in connection with any part of the Services are the trademarks of Poly and may not be used without permission.

05. USER CONDUCT AND CERTAIN RESTRICTIONS

As a condition of use, you agree not to use the Services for any purpose that is prohibited by this Agreement or by applicable law.

06. INVESTIGATIONS, MONITORING, & NO OBLIGATION TO PRE-SCREEN CONTENT

Poly reserves the right to investigate, monitor, pre-screen, remove, refuse, or review the Services and/or Content.

07. FEES AND PURCHASE TERMS

  1. Third-Party Service Provider. Poly uses Stripe, Inc. as its third-party service provider for payment services. If you make a purchase on the Services, you will be required to provide your payment details directly to our Third-Party Service Provider.

  2. Payment. You shall pay all fees or charges in accordance with the fees, charges, and billing terms in effect at the time a Fee is due and payable.

08. INDEMNIFICATION

You agree to indemnify and hold Poly and its affiliates harmless from any losses, costs, liabilities, and expenses related to your use of the Services.

09. DISCLAIMER OF WARRANTIES AND CONDITIONS

You understand and agree that to the extent permitted by applicable law, your use of the Services is at your sole risk, and the Services are provided on an "AS IS" and "AS AVAILABLE" basis, with all faults.

10. LIMITATION OF LIABILITY

In no event shall the Poly Parties be liable for any loss of profits, revenue, or data, indirect, incidental, special, or consequential damages.

11. PROCEDURE FOR MAKING CLAIMS OF INTELLECTUAL PROPERTY RIGHT INFRINGEMENT

If you believe that your work has been copied and posted on the Services in a way that constitutes intellectual property rights infringement, please provide notified information.

12. TERM AND TERMINATION

  1. Term. The Agreement commences on the date you first used the Services.

  2. Termination by Poly. Poly reserves the right to suspend or terminate any Services provided to you.

  3. Effect of Termination. Termination of this Agreement includes removal of access to the Services and barring of further use of the Services.

13. INTERNATIONAL USERS

The Services can be accessed from countries around the world and may contain references to Services and Content that are not available in your country.

14. ARBITRATION AGREEMENT

You and Poly agree that any dispute, claim, disagreement arising out of or relating in any way to your access to or use of the Services will be resolved by binding arbitration.

15. GENERAL PROVISIONS

  1. Electronic Communications. You consent to receive communications from Poly in an electronic form.

  2. Assignment. The Agreement may not be assigned, subcontracted, delegated, or otherwise transferred by you without Poly’s prior written consent.

  3. Force Majeure. Poly shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control.

  5. Governing Law. The terms will be governed and interpreted by the laws of the State of California.
